KLASS BANK / INVESTOR RELATIONS

Capital & strategic investment

Define the mandate. Establish the structure. Evaluate the economics. Build a relationship with a clear investment purpose.

Three ways to frame the conversation

Corporate capital participation. For institutions and qualified investors seeking a discussion about participation in the bank itself. State the investing entity, proposed capital range, investment horizon and preference for equity, debt or another agreed structure.

Strategic commercial partnership. For organisations seeking a relationship around distribution, transaction services, technology or market access. Define the customer proposition, contribution of each party, operating model and measurable commercial objectives.

Financing and risk participation. For institutions exploring a bilateral financing, co-financing or risk-sharing mandate. Identify the obligor, underlying activity, proposed tenor, security, allocation of risk and servicing responsibilities. Availability and terms require a specific agreement.

From initial interest to an investable structure

Begin with a non-confidential mandate summary. A productive first discussion establishes the investor or partner identity, source and form of capital, strategic rationale, jurisdictional constraints and decision process. Identify who will sponsor the relationship and who has authority to negotiate.

Following initial qualification, the parties can agree the scope of confidential diligence, information access and an appropriate confidentiality arrangement. Financial, legal, operational and regulatory workstreams should converge on a documented investment case before commercial terms are negotiated.

The terms that matter

Economics and deployment: valuation or pricing basis, funding schedule, use of proceeds, fees, priority of distributions and reporting against the agreed purpose.

Governance and risk: information rights, reserved matters, consent thresholds, exposure allocation and escalation. Credit, liquidity, market, operational and counterparty risks require explicit consideration.

Exit and continuity: transfer restrictions, maturity or exit provisions, termination and treatment of outstanding obligations.

Investment enquiries, not online subscriptions

Use the Investor Bureau to submit a mandate or request a discussion. Do not send funds or confidential transaction files through the public form. Any investment proceeds on its own agreed terms, eligibility requirements and applicable approvals. This page does not constitute a securities offer or confirm an open capital raise.
